1. Agreement to Terms

These Terms of Service (“Terms”) constitute a binding agreement between you and ReportsMate (“Company,” “we,” “us,” or “our”) governing your access to and use of the ReportsMate software-as-a-service platform and related services (“Service”). By accessing or using the Service, you represent that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Service.

The Service is operated from Sydney, Australia and is offered to users worldwide. You represent and warrant that you have the authority to bind the organization on whose behalf you use the Service, and that your use will at all times comply with applicable laws.

2. Service Description

ReportsMate provides automated marketing report generation and delivery. The Service connects, on a read-only basis, to supported marketing platforms (including Google Ads, Google Analytics, and Meta Ads), generates insights and reports, and delivers those reports to designated recipients. The Service also offers white-label branding and scheduling configuration where enabled. Features may evolve over time and may vary by account configuration and region.

3. Eligibility and Account Registration

You must be at least 16 years of age to use the Service. When creating an account, you must provide accurate, current, and complete information and keep such information up to date. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You agree to notify us promptly of any unauthorized access or security incident. Unless expressly permitted in writing, account sharing across multiple users is prohibited.

4. Subscription and Billing

Access to the Service is provided on a subscription basis and billed in advance on a monthly or annual cycle, as selected during checkout. Unless otherwise specified, prices are stated in USD and exclusive of applicable taxes, which may be charged based on your billing location. Payments are processed securely by Stripe. Your subscription will renew automatically at the end of each billing period unless you cancel through your account settings before renewal. If a free trial is offered, it is subject to the then-current terms presented at sign-up and may be withdrawn or modified at our discretion.

5. Money-Back Guarantee

If stated on the purchase path, first-time customers may request a full refund within thirty (30) days of their initial paid subscription by contacting support@reportsmate.com. Refund eligibility is determined in good faith and processed to the original payment method. Processing times may vary by payment provider. This guarantee applies only to the first billing of a new, paid subscription and does not apply to renewals, add-ons, or subsequent purchases.

6. Platform Integrations and Data Access

To provide the Service, you authorize read-only connections to supported third-party platforms, including Google Ads, Google Analytics, and Meta Ads, as applicable. You retain ownership of your data. We access and process connected-account data solely to generate and deliver reports and to operate, maintain, and secure the Service. Consistent with our technical documentation, certain data may be cached for up to one (1) day to improve performance and is then automatically deleted. We do not sell your marketing data. All data in transit and at rest is protected using appropriate technical and organizational measures.

Availability of integrations depends on the applicable platform’s uptime, APIs, and policies. Features may be limited by third-party terms or technical restrictions, and we are not liable for changes made by third parties that affect functionality or access.

7. Acceptable Use

You may use the Service solely for lawful business purposes and in accordance with these Terms. You must not use the Service for any illegal, fraudulent, or unauthorized purpose; attempt to access accounts or data without permission; interfere with or disrupt the Service or its security; reverse engineer, decompile, or attempt to derive source code; transmit malware or spam; or otherwise violate applicable laws or third-party rights. We may suspend or restrict access where we reasonably believe a breach has occurred or a risk to the Service or other users exists.

8. Intellectual Property

We and our licensors retain all right, title, and interest in and to the Service, including all software, documentation, designs, interfaces, trademarks, and other intellectual property. Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service during your subscription term. You retain ownership of your data and grant us a limited right to process such data to provide the Service and to perform security, support, and product improvement activities as permitted by law and our policies.

9. Service Availability and Support

We endeavor to maintain a high level of availability; however, the Service may be temporarily unavailable for planned maintenance or due to unplanned outages. Where practicable, we will provide advance notice of material maintenance. Support is provided in English during Australian business hours via the channels indicated in your account. Response times may vary based on ticket volume, severity, and subscription tier.

10. Privacy and Security

Our collection, use, disclosure, and safeguarding of personal information are described in our Privacy Policy, which is incorporated by reference. By using the Service, you acknowledge that you have read and understood the Privacy Policy. We implement appropriate technical and organizational measures designed to protect information; however, no method of transmission or storage is entirely secure, and we cannot guarantee absolute security.

11. Termination

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the then-current billing period, and you will retain access until that date. We may suspend or terminate access immediately where you materially breach these Terms, fail to pay fees when due, engage in unlawful or harmful conduct, or create a security risk. Upon termination, your account data will be deleted from our primary systems within thirty (30) days, subject to any retention required by law, dispute resolution, or legitimate business purposes. 12. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IN ANY TWELVE (12)-MONTH PERIOD SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU FOR THE SERVICE DURING THAT PERIOD.

13. Dispute Resolution

These Terms are governed by the laws of New South Wales, Australia, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction and venue of the courts located in New South Wales, Australia, for any dispute arising out of or relating to these Terms or the Service. Before commencing formal proceedings, the parties will use good-faith efforts to resolve the dispute by contacting support@reportsmate.com and engaging in informal discussions for at least fourteen (14) days, unless injunctive relief is sought.

14. General Provisions

These Terms, together with any policies referenced herein (including the Privacy Policy), constitute the entire agreement between you and us regarding the Service and supersede all prior or contemporaneous understandings on the subject matter. If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect. We may update these Terms from time to time; material changes will be notified through the Service or by email, and continued use after the effective date constitutes acceptance of the updated Terms. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, corporate reorganization, or sale of assets. No waiver is effective unless in writing and signed by the waiving party.
